> ## Documentation Index > Fetch the complete documentation index at: https://docs.solved.gg/llms.txt > Use this file to discover all available pages before exploring further. # End User License Agreement (EULA) > Commercial end-user terms for authenticated use of iResolved / solved.gg software products. **Effective date:** July 15, 2026\ **Last updated:** July 15, 2026\ **Licensor:** iResolved, LLC (“**Licensor**,” “**we**,” “**us**”) This End User License Agreement (“**EULA**”) governs Use of Licensor software products and related services (the “**Software**”) by natural persons or entities that hold an **Authenticated Account** with solved.gg or iResolved LLC (or a designated affiliate) and that accept this EULA. Software may also be offered under a separate source-available license (for example, the **iResolved Source Available License** shipped with a product). This EULA works together with that license: * For Authenticated Accounts in good standing, **payment / commercial-license-fee portions** of the source-available license may be superseded by this EULA’s commercial terms (as described in product licenses such as §2.3 of the rusty source-available license). * **Competition, AI, distribution, integrity, and other non-payment restrictions** in the source-available license continue to apply unless this EULA **expressly** grants broader rights. If you do not hold an Authenticated Account, this EULA does not create rights for you; the source-available license (if any) and public site [Terms](/legal/terms) apply instead. ## 1. Definitions * **Authenticated Account** — an account successfully authenticated by Licensor’s (or a designated affiliate’s) identity systems and in good standing. * **Use** — to access, run, install, execute, configure, or otherwise operate the Software as permitted herein. * **Workspace** — projects, repositories, and data you create or manage with a production binary of the Software; Workspaces remain outside Licensor’s ownership claims under product licenses. * **Order** — online plan selection, invoice, or written order form specifying product, tier, seats, term, and fees. Capitalized terms not defined here may have meanings assigned in the applicable product source-available license. ## 2. License grant Subject to this EULA, your Order (if any), and continuous compliance, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable license to Use the Software during the subscription or access term for your internal business or personal purposes, solely for the products and capacity purchased or allocated to your Authenticated Account. You may not: * Use the Software beyond seat, environment, or feature limits in your Order * Provide the Software as a hosted service to third parties except as expressly permitted in writing * Remove proprietary notices * Use the Software to develop a competitive offering in violation of the source-available license or this EULA ## 3. Accounts and authentication * Access may require authentication (including OAuth/OIDC flows used by CLI tools such as `auth login`). * You must keep credentials confidential and promptly notify us of suspected compromise. * We may revoke or suspend access for breach, non-payment, security risk, or account abuse. ## 4. Fees and payment * Fees are as stated in your Order or account plan. * Unless stated otherwise, fees are non-refundable except where required by law. * Late amounts may accrue interest at the maximum rate permitted by law, and we may suspend access for non-payment. * You are responsible for applicable taxes, excluding taxes based on our net income. ## 5. Support and updates * Support levels, if any, are described in your Order or product documentation. * We may provide updates, patches, or new versions. Some updates may be required for continued authentication or security. * Pre-release, early-access, and “dev” builds are provided without any commitment to general availability or continued compatibility. ## 6. Workspaces and your data You retain all rights in your Workspaces and content. We do not claim ownership of your source code or project data merely because you used the Software. Our handling of personal information is described in the [Privacy Policy](/legal/privacy). ## 7. Confidentiality Non-public features, performance characteristics not published by us, beta materials, and account security information are Confidential Information. You will not disclose them except to personnel under confidentiality obligations who need to know for permitted Use. ## 8. Open source and third-party components The Software may include third-party components under separate licenses. Those licenses govern those components. Nothing in this EULA limits rights you may have under mandatory open-source terms for those components alone. ## 9. Warranty disclaimer THE SOFTWARE AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. EARLY-ACCESS SOFTWARE MAY BE INCOMPLETE OR CHANGE WITHOUT NOTICE. ## 10. Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL. LICENSOR’S AGGREGATE LIABILITY UNDER THIS EULA IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SOFTWARE ACCESS GIVING RISE TO THE CLAIM IN THAT PERIOD, OR ONE HUNDRED U.S. DOLLARS (US \$100) IF NO FEES WERE PAID, EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW. ## 11. Term and termination * This EULA remains in effect while you have an Authenticated Account with access to the Software or until terminated. * Either party may terminate for material breach if not cured within thirty (30) days after written notice (immediate for payment, security, or competition breaches). * On termination, you must stop Using the Software under this EULA. Source-available license payment obligations may again apply to continued Use without an Authenticated Account. * Sections that by nature should survive (including IP, confidentiality, disclaimers, liability limits, and governing law) survive termination. ## 12. Governing law and venue This EULA is governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-law principles. Exclusive venue is as stated in Licensor’s source-available license governing law provisions (Delaware courts / Court of Chancery carve-out), which are incorporated by reference for disputes relating to the Software. ## 13. Changes We may update this EULA by posting a revised version on this documentation site. Material changes affecting paying customers will be communicated via account email or in-product notice where practicable. Continued Use after the effective date constitutes acceptance unless applicable law requires otherwise. ## 14.
